Terms of Use

By creating an account on DealSphere, you represent and agree that:

• •You are at least 18 years old and have the legal capacity and authority to enter into these Terms.
• •If you are using the Service on behalf of a company or organization, you have the authority to bind that entity to these Terms.
• •You will provide accurate, complete, and current information during registration and keep it up to date.
• •You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• •You will notify us immediately of any unauthorized access to or use of your account.
• •One person or entity may not maintain more than one account without prior written approval.

You agree to use DealSphere in compliance with all applicable laws and regulations. Specifically, you will:

• •Use the platform only for lawful business purposes related to deal management, lead tracking, and business outreach.
• •Comply with all applicable email regulations including CAN-SPAM, GDPR, CASL, and any other applicable anti-spam or data protection laws when sending emails through our platform.
• •Only send emails to recipients who have a legitimate business relationship with you or who have otherwise consented to receive communications.
• •Maintain accurate and up-to-date contact lists and promptly honor all unsubscribe and opt-out requests.
• •Include accurate sender information and a valid physical address in all outreach emails as required by law.

You may not use DealSphere to:

• •Violate any applicable law, regulation, or third-party rights.
• •Send spam, phishing emails, or any form of unsolicited bulk communication.
• •Misrepresent your identity, affiliation, or the origin of any communications sent through the platform.
• •Reverse engineer, decompile, disassemble, or attempt to extract the source code of the platform.
• •Interfere with or disrupt the platform, servers, or networks connected to the Service.
• •Scrape, crawl, or use automated means to access the platform without our written consent.
• •Share your account credentials or allow unauthorized access to your account.
• •Upload or transmit viruses, malware, or any other malicious code.

DealSphere integrates with third-party services including Google (Gmail), Microsoft (Outlook), and other providers. Your use of these integrations is subject to the following:

• •When connecting Google services, your use is also subject to Google's Terms of Service.
• •We access Google user data in accordance with the Google API Services User Data Policy, including the Limited Use requirements.
• •We are not responsible for the availability, accuracy, or practices of any third-party services. Their use is at your own risk and subject to their respective terms and policies.

• •Paid plans are billed in advance on a monthly or annual basis depending on your chosen plan.
• •All fees are non-refundable unless otherwise stated or required by applicable law.
• •We reserve the right to modify pricing with at least 30 days' written notice prior to your next billing cycle.
• •Failure to pay may result in suspension or termination of your account and access to the Service.
• •You are responsible for all applicable taxes related to your use of the Service.

The DealSphere platform, including all software, designs, text, graphics, logos, and other content, is owned by DealSphere and is protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted are reserved.

Your content: You retain full ownership of all data, content, and materials you upload to DealSphere. By using the Service, you grant us a limited, non-exclusive, royalty-free license to process, store, and display your content solely to provide and operate the Service for you.

Feedback: If you provide suggestions, ideas, or other feedback about DealSphere, we may use such feedback without any obligation or compensation to you.

To the maximum extent permitted by applicable law, DealSphere and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of or inability to use the Service.

Our total aggregate liability to you for any claims arising from or related to the Service shall not exceed the amount you paid to DealSphere in the twelve (12) months immediately preceding the event giving rise to the claim.

We may suspend or terminate your access to DealSphere at any time if you violate these Terms or for any other reason at our sole discretion, with or without notice. Upon termination:

• •Your right to use the platform will immediately cease.
• •All connected email accounts will be disconnected and OAuth tokens will be revoked.
• •We will delete your account data in accordance with our Privacy Policy.
• •You may request a data export within 30 days of termination by contacting us.

You may terminate your account at any time by contacting us at support@dealsphere.io or using the account deletion option in your settings.

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration or in the courts of competent jurisdiction.

You agree to first attempt to resolve any disputes informally by contacting us before initiating any formal proceedings.

We reserve the right to modify these Terms at any time. If we make material changes, we will provide at least 30 days' notice via email or through a prominent notice on the platform before the changes take effect.

Your continued use of DealSphere after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service.
